HCL Starting: Shiv Nadar Gift 47% of Shares, Rozni Nadar Malch

Billionaire Shv Nadar, founder of HCL, gifted 47% of his stake in JL Corp and Vama Delhi of his daughter Rozni Nadar Malcha, in a strategic success of succession.

After the transfer, Malchotra will become a majority shareholder and gain control of both entities, according to the HCLTech and HCl infosystems stock market. The move strengthens its position as the largest shareholder of HCL infosystems and hcltech.

As part of the transfer, it will gain voting control over 12.94% of the shares of Vama Delhi and 49.94% of the HCL infosystems’ shares. In HCLTECH, it will take over 44.17% of the Vama Delhi and an additional 0.17% of HCL Corp.

The transfer was formalized through two gifts on March 6, 2025, ensuring continuity of ownership in the Nadar family. “Gift works have been committed in accordance with the private family arrangement in order to direct succession, providing stability and control of the FIV Nadar family,” the submissions said.

In order to facilitate the transition, India’s capital market regulator, India’s Securities and Exchange Board, awarded Malchotra an exemption from an open offer.

Prior to this transfer, Shiv Nadar had a 51% stake in Vama Delhi and JL Corp, while Malchotra owned 10.33%.

Malchotra, who has an undergraduate degree from the Northwest University and the MBA of the Kellogg School of Management, has been the president of JCTech since July 2020. Outside her corporate role, she is actively involved in philanthropy through the Shiv Nadar Foundation, which focuses on education and trust in habitat dedicated to preserving efforts.
